Terms of Use

These Terms of Use (the “Terms”) are a binding contract between Prestige Technologies SL (“Prestige”, “we”, “us”, “our”) and any individual or entity that accesses our website at https://alpha-analyst.com (the “Website”) or uses the Alpha Analyst platform, applications, APIs and related services (collectively, the “Services”). By using the Website or Services, you agree to these Terms.

1. Introduction & Acceptance

Your use of our Website or Services in any way means you agree to all of these Terms. If you do not agree, do not use or access the Website or Services. These Terms incorporate our Privacy Policy and any service-specific terms referenced here.

2. Scope; Relationship to Service Agreements

These Terms apply to your use of the Website and, unless a separate written agreement signed or accepted by Customer (e.g., an Order Form, Master/Platform Agreement, Data Processing Agreement, or similar, a “Service Agreement”) expressly governs Customer’s use of the Services. If a Service Agreement conflicts with these Terms, the Service Agreement controls for the covered Services. References to “Customer” include Customer Affiliates authorized to use the Services under a Service Agreement.

3. Changes to these Terms

We may update these Terms to reflect changes to our Website, Services, or law. If we make material changes, we will post the updated Terms and update the “Updated” date above and, where required, provide additional notice. If you continue to use the Website or Services after the updated Terms become effective, you accept the changes.

4. Eligibility & Accounts

You must be of legal age to form a binding contract (or have parental/guardian consent) and use the Website and Services only in compliance with applicable law. You are responsible for the accuracy of registration information and for all activity under your account.

5. Privacy

Prestige takes privacy seriously. See our Privacy Policy and AI Privacy & Data Use Policy. Where applicable data protection laws require, our Data Processing Agreement (DPA) applies to Customer Content processed as a processor/service provider.

6. Communications

We may send you operational, security, and administrative communications. Where required, we will obtain consent for marketing and you can opt out at any time.

7. Acceptable Use

You agree not to, and will not allow others to, use the Website or Services to:

  1. Infringe intellectual property or other rights of any person.
  2. Violate law, including export controls, privacy or anti-spam laws.
  3. Post or transmit harmful, deceptive, defamatory, obscene, harassing, hateful, or otherwise objectionable content.
  4. Attempt to access another user’s account or data.
  5. Interfere with security or integrity of any network or system, or test vulnerabilities without authorization.
  6. Run auto-responders, spam, or place unreasonable load on our infrastructure.
  7. Crawl, scrape, spider, cache, or store substantial portions of the Services or Content, except as permitted by robots.txt or an applicable Service Agreement.
  8. Decompile, reverse engineer, or derive source code or underlying ideas of the Services except to the extent such restriction is prohibited by law.

Violations may result in suspension or termination of access.

8. IP Rights & License to Website

The Website and its content (text, graphics, images, software, designs, and “look and feel”) are protected by intellectual property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable license to access and display Website content solely to use the Website. Except as expressly permitted, you may not copy, modify, distribute, publish, or create derivative works from Website content.

9. Services; Access & Authorized Users

Subject to a Service Agreement (if applicable) and these Terms, we provide access to the Services (including web app, mobile, and APIs) to authorized users for internal business purposes during the applicable Service Period. Sharing of credentials is prohibited. If a non-authorized individual accesses the Services using authorized credentials, Customer may be required to purchase access for that individual.

Service-specific terms, usage limits (e.g., on printing, downloading, API calls), and any addenda referenced in the Service Agreement also apply.

10. Restrictions on Use (including AI Tools)

Unless expressly permitted by these Terms or a Service Agreement, you (and third parties you permit) will not:

  1. Rent, lease, resell, sublicense, or transfer the Services or Content.
  2. Use data mining, robots, or similar data-gathering methods on the Services or Content.
  3. Remove proprietary notices or circumvent access controls or usage limits.
  4. Programmatically access the Services or Content (except via documented APIs and within permitted limits).
  5. Use the Services or Content to build, train, or improve a competitive product or service, or to conduct benchmarking except as permitted by law.
  6. Use the Services or Content with any third-party artificial intelligence tool, LLM, or API except as expressly enabled within the Services or authorized in writing.
  7. Use Content for litigation, government, or regulatory filings without permission unless legally required.

11. Passwords & Security

Each Authorized User must keep credentials confidential and use only their own credentials. You are responsible for activity under your account and must promptly notify us of suspected unauthorized access.

12. Customer Content

“Customer Content” means content you submit to or generate in the Services. You are responsible for Customer Content and represent and warrant that you have all rights necessary to upload and share it and that it does not infringe rights or violate law. You retain ownership of Customer Content and grant us the rights necessary to provide the Services and as otherwise required by law (e.g., compliance with legal process).

You control sharing of Customer Content with other users (including external recipients if enabled). We may remove content we reasonably believe violates these Terms or law.

You should maintain appropriate backups and security for your content.

13. Third-Party Content

Some content accessible via the Services is provided by third parties and may be subject to additional terms. Availability of third-party content may change, and we may replace or withdraw such content. You will not reproduce, distribute, or exploit third-party content beyond permitted licenses and must comply with reasonable requests to protect providers’ rights.

14. AI Notice & Disclaimers

The Services may include features powered by artificial intelligence. AI outputs can be incorrect, incomplete, or misleading. Use caution and verify critical information with authoritative sources. AI content is informational and not a substitute for original research or expert advice. It is not legal, investment, financial, medical, or other professional advice.

15. Customer Support & Training

We provide in-app and email support during standard business hours (Monday–Friday, excluding holidays). Training may be provided as described in the Service Agreement or our documentation.

16. Fees, Payments & Taxes

Fees, payment terms, and any renewal price adjustments are set out in the applicable Service Agreement or order. Unless stated otherwise, fees are due within thirty (30) days of invoice, non-refundable, and exclusive of taxes. Late amounts may accrue interest at 1% per month (or the maximum permitted by law). Non-payment may result in suspension.

17. EU/UK Consumer Right of Withdrawal

If you are a consumer in the European Union, European Economic Area, or United Kingdom, you normally have a 14-day right to withdraw from a contract for digital services. However, this right of withdrawal does not apply to the supply of digital content which is not supplied on a tangible medium if the performance has begun with your prior express consent and your acknowledgment that you thereby lose your right of withdrawal, as stated in Article 16(m) of the EU Consumer Rights Directive.

When you purchase our Services, you are purchasing digital content for immediate access and use. Therefore, you will be asked to provide your express consent to the immediate start of the service and to acknowledge that you will lose your right of withdrawal once the service begins. By agreeing to these terms at checkout, you provide this consent and acknowledgement.

18. Term; Renewal; Termination

Service terms and renewals are specified in the Service Agreement. Either party may terminate for material breach not cured within thirty (30) days’ notice, or for insolvency events. Upon termination, access ceases and Customer must stop using the Services. Sections intended to survive (including IP, fees, confidentiality, indemnities, limitations, and dispute resolution) will survive.

We further reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms. While we may choose to provide a reason for termination, such as for abuse of services or infringement of our terms, we are not obligated to do so. In the event of termination, your right to use the Services will immediately cease.

19. Confidentiality

Each party may receive the other’s non-public information (“Confidential Information”). The receiving party will protect it with reasonable care, use it only to perform under these Terms or a Service Agreement, and limit access to those with a need to know who are bound to confidentiality. Exceptions include information that is public, independently developed, or rightfully obtained without restriction. Legally compelled disclosures are permitted with prompt notice (where lawful).

20. Indemnification

Customer will defend and indemnify Prestige against third-party claims arising from Customer’s (or its users’) violation of Section 7 (Acceptable Use), Section 10 (Restrictions), Section 12 (Customer Content), or Section 18 (Confidentiality), except to the extent arising from Prestige’s unlawful acts, gross negligence, or willful misconduct.

Prestige will defend and indemnify Customer against third-party claims alleging that the Services, when used in accordance with these Terms and applicable documentation, infringe a third party’s intellectual property right. If the Services are enjoined, we may procure rights, modify to be non-infringing, or replace with substantially equivalent functionality; if not feasible, Customer may terminate the affected Services for a pro-rated refund of prepaid, unused fees. This is Customer’s exclusive remedy for IP infringement. Exclusions include claims based on modifications not made by Prestige, misuse, breach of these Terms, or Customer Content/third-party content.

The indemnified party must promptly notify, allow control of the defense, and reasonably cooperate. No settlement that imposes non-confidential admissions or monetary obligations on the indemnified party is permitted without consent (not to be unreasonably withheld).

21. Warranty Disclaimer

THE WEBSITE, SERVICES, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, PRESTIGE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, DATA ACCURACY, AND FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION, OR THAT DEFECTS WILL BE CORRECTED.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR A PARTY’S INDEMNIFICATION OBLIGATIONS, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS PAID OR PAYABLE FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

23. Governing Law & Dispute Resolution

EEA/UK/CH & Rest of World (default): These Terms are governed by the laws of Spain, excluding conflict-of-laws rules. The courts of Madrid, Spain have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply by law.

24. Marketing

We may use Customer’s name and logo in a general list of customers and refer to Customer as a user of the Services in marketing materials, unless Customer opts out by written notice.

25. Notices

Notices must be in writing and are deemed given when received if delivered personally; when receipt is confirmed if by email; the next business day if by recognized overnight courier; and upon receipt if by registered or certified mail. Customer consents to electronic communications.

26. Assignment

Neither party may assign these Terms without the other’s consent, except either party may assign in connection with a merger, reorganization, or sale of substantially all assets. Any unauthorized assignment is void. These Terms bind permitted successors and assigns.

27. Entire Agreement

These Terms, together with any Service Agreement and incorporated documents, are the complete and exclusive statement of the agreement between the parties regarding the subject matter and supersede all prior and contemporaneous agreements. Terms on a purchase order do not modify these Terms.

28. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including acts of God, labor disputes, internet/telecom failures, cyberattacks, war, terrorism, government actions, or disasters.

29. Severability

If any provision is unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

30. Waiver

Failure to enforce any right is not a waiver. Any waiver must be in writing and is limited to the specific instance.

31. Cumulative Rights & Remedies

Except as expressly stated otherwise, remedies are cumulative and in addition to any other rights at law or equity.
